These Website Terms of Use ("Terms") govern your access to and use of the website located at scaledsources.com and any related pages or subdomains (collectively, the "Site"), operated by Scaled Sources LLC. By accessing or browsing the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to all visitors and users of the Site. They do not govern the use of our software products, which are subject to separate license or subscription agreements.

SCALED SOURCES DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCALED SOURCES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF SCALED SOURCES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SCALED SOURCES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE EXCEED ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages, so the above limitations may not apply to you in full.

8. Indemnification

You agree to indemnify, defend, and hold harmless Scaled Sources and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site in violation of these Terms or your violation of any applicable law or third-party right.

9. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois, and you consent to personal jurisdiction in those courts.

Before initiating any legal action, you agree to contact us at privacy@scaledsources.com and make a good-faith effort to resolve the dispute informally for at least 30 days.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we may provide additional notice at our discretion. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Site.

11. Termination

We reserve the right to suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Sections 2, 6, 7, 8, 9, and 11 will survive any termination.

12. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scaled Sources regarding your use of the Site. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
